
ASSOCIATION FOR DOCTORAL EDUCATION IN CLINICAL NEUROPSYCHOLOGY
Article I
Name and Purpose

The name of this organization shall be the Association for Doctoral Education in Clinical Neuropsychology, also to be known as “ADECN.”

The purposes of this organization are to: (a) advocate for and promote the concerns of doctoral education and training in clinical neuropsychology; (b) promote appropriate standards for education, training, and research in clinical neuropsychology at the doctoral level and share resources to support training across programs; and (c) inform psychologists in clinical neuropsychology, other areas of psychology, members of related disciplines, and members of the general public about doctoral education and training and related activities in clinical neuropsychology.
Article II
Membership

Members shall have the following minimum qualifications:

Members shall be full-time faculty in a clinical psychology doctoral program who specialize in clinical neuropsychology and provide training and mentorship in clinical neuropsychology.

Any number of full-time faculty members from a particular graduate training program may be members of ADECN but only one of the faculty members from a program or track shall be a voting member; the remainder will be non-voting members.

Members shall be neuropsychologists by virtue of their education, training and experience (e.g., possess the knowledge and skills listed in the Houston Conference Training Guidelines).

Those who seek membership shall complete a membership application, the contents of which are determined by the Executive Committee. The Executive Committee will review each complete application and determine eligibility based on standards determined by that committee. Membership status will be granted upon receipt of appropriate dues, if any, and will take effect for a one-year period. In the event that the Executive Committee rejects an application for membership, the candidate will be apprised in writing of the specific reason for the rejection; the application may appeal in writing to the Executive Committee for reconsideration.

The minimum membership dues will be recommended by the Executive Committee and approved by the general membership at the annual business meeting. Any member who fails to pay the required dues shall be dropped from membership.
Article III
Membership Rights, Privileges, and Restrictions

Non-voting members may be appointed as a voting member by a particular program if the voting member is unable to attend a meeting.
Article IV
Officers
-
The Officers of ADECN shall be a President, Past President, Secretary, Treasurer, and at least one Member-at-Large. Typically, there will be one Member-at-Large. The Executive Committee must contain an odd number of Officers and thus an additional Member-at-Large may be needed at times due to vacancies. Officers will serve three-year terms. No more than 2 Officers may be from the same graduate training program.

The President shall preside at all meetings, shall be the Chairperson of the Executive Committee with the right to vote, and shall perform all other duties of the presiding officer. The President, with the assistance of the Secretary, shall be responsible fro preparing the agenda of the business meeting of the ADECN and of the Executive Committee.

The Past-President of ADECN shall be the most recently retired President of ADECN and shall serve as a voting member of the Executive Committee. They shall serve as a consultant to the Officers and have other duties from time to time, as prescribed by the Executive Committee.

The Secretary shall be voting member of the Executive Committee, shall safeguard the records of ADECN, shall keep the minutes of the meetings of ADECN and the Executive Committee, shall assist the President in preparing the agenda for the business meetings of ADECN and the Executive Committee, shall inform the membership of actions taken by the Executive Committee, and shall perform all other duties of the Secretary.

The Treasurer shall be a voting member of the Executive Committee, shall oversee the custody of all funds and property of ADECN, shall oversee the receipt of all money due to ADECN, shall direct disbursements as provided under the terms of the bylaws, shall oversee the keeping of adequate accounts, shall aid the President and the Executive Committee in the preparation of an annual budget, and in general, shall perform the usual duties of a Treasurer.

The Member(s)-at-Large will assist in the general operation of ADECN and its business and affairs with duties including, but not limited to, the coordination and execution of the activities of Committees. The Member(s)-at-Large shall be a voting member of the Executive Committee.

The officers shall assume their responsibilities at the end of the business meeting of each year and shall as a voting member of the Executive Committee.

In the case of death, incapacity, or resignation of any Officer of the Executive Committee, a special election will occur to elect a replacement who will complete the unexpired term.

No person shall serve nor run for office in more than one elected office simultaneously.

No Officer shall deal with themselves or any other Officer in a manner which represents a conflict or potential conflict with the interests of the association. Officers may recuse themselves from voting or any discussions that may cause a potential conflict of interest. Conflict of Interest statements will be gathered by the Secretary at the start of the calendar year for all Officers and committee chairs. These statements are reviewed and approved by the Members of the Executive Committee, or at the first Executive Meeting.
Article V
Committees and Special Roles

The committees of ADECN shall consist of those standing committees established by these Bylaws, continuing committees established by special action of the Executive Committee and requiring special action to be dissolved, and those special committees and roles as may be established by the Executive Committee for time to time. Unless otherwise noted, the terms and limits of terms of a chair, of a committee, or a member in a special role shall be set according to ADECN policies and procedures.

Executive Committee. There shall be an Executive Committee of ADECN consisting of the President, President-Elect, the Secretary, and the Treasurer and one Member-at-Large. The members of the Executive Committee shall serve for the duration of their terms of elected office. No person on the Executive Committee shall have more than one vote. The Executive Committee shall have general supervision of the affairs of ADECN, performing the duties and abiding by the limitations specified in these Bylaws. Actions of the Executive Committee affecting ADECN policy are subject to approval by majority vote of the members voting. The voting for such matters shall be conducted at an annual meeting or by special electronic ballot as decided by the Executive Committee. The Executive Committee will meet virtually at least two times per year and more often as needed to conduct ADECN business. Additional Executive Committee discussion and voting on routine items may happen between meetings via email.

Special Committees. Special Committees, including task force committees, shall be established by vote of the Executive Committee as the need arises. Special Committees shall be reviewed by the Executive Committees at least every three years to assess the need for their continuation. The term of the chair of such Special Committees shall coincide with this three-year period.
Article VI
Activities

The annual meeting of ADECN shall usually take place virtually for the transaction of business, and the discussion of professional matters in ADECN’s interest.

The Executive Committee and/or Special Committee(s) will update ADECN members throughout the year on news and other information relevant to members. The Executive Committee and/or Special Committee(s) will arrange for the sharing of electronic sharing of information aligned with its purpose as defined in Article I (e.g., resources for training).

Article VII
Amendments
-
Amendments to these Bylaws may be proposed by a majority of the Executive Committee or by a majority vote of the Members present at any annual meeting. Rectification of the amendment proposed requires a two-thirds majority of those members voting.
